I have an Intel Celeron 347 3.06 GHz Processor which is very weak

If I bought an AMD 5450 Card Would BottleNecking Occur?

I have the Intel G41 Integrated Card...
Also SHould I upgrade the card or the Cpu?
15fps+ in Modern game is good for me I can play these game for Low Med settings.
I also have 2gb of ram, i can also add another 2 GB

The 5450 has 80 of what AMD calls Stream Processors. The 6770 has 800. That should give you an idea of how much performance it has.

The 5450 can normally be found for $30 and often has sells to get it cheaper. The 6770 is expensive found in stores, but found used I've seen several sell in the past few days for under $40. I was looking at them for a different reason. So you literally get about 10 times the performance for at most $10 more.
The AMD 5450 is very weak, so no you won't have any issues. It won't bottleneck that graphics card.

If you have the extra cash I would advise you get more RAM and also go for a faster graphics card like an AMD R7 240 or Nvidia GT730 GDDR5. These two graphics cards will probably be bottlenecked by your processor, but the idea of getting them is so when you eventually do buy a faster computer you will et a big jump in graphics also.

I know it is a weak card but... I saw a video of it Running watch dogs at 15 FPS which is Awesome For me... If its true... I dont want 60 Fps, 15-30 FPS is really good for me

 
Wellif you are okay to settle for that low.

I really advise at least going for like an AMD 6770 which you can often get on Ebay for about $30 and could get 30FPS probably on Watch Dogs with medium/low settings. Get the GDDR5 version which is usually around the same price on there and it is still a pretty good card and cheap. At least then you get the most for your money.
