order of install heatsink out of case or in case ?

Is it ok to put my heatsink on cpu on motherboard BEFORE I install motherboard?

I have Themaltake mk1 case, Noctua-12s heatsink & ASUS Z97-DELUXE(NFC & WLC) LGA 1150
Just thought it would be easier outside case but if that would make mb harder to install then not??

Yes, it's ok to do that. In many cases, it's required as the CPU HSF requires a back plate installed on the bottom of the motherboard.
