I'm building a computer for my friend (who is on a budget), what cpu should I get for $200,
Also, I'm building this on an MATX motherboard with the CM Hyper 212 EVO cooler.

Yes but I know that he will do other things than game at one point or another and the 8350 out proforms the i5 in those areas.
the i5 4690k, if you want to spend less the fx 8320(cant be upgraded though and is weaker.) if your friend does anything else the xeon might be good for other outside gaming applications though cant be overclocked, also if you live next to microcenter they could probably get you a i7 for 200$

his friend i think wants overclocking.

If you absolutely must have overclocking within a hard limit of $200, then you're going to have to go with an FX-8350. But in terms of actual performance, I don't think an FX-8350 will overclock far enough to actually beat a locked i5-4690.

That's a blanket statement. If you look at actual individual productivity benchmarks, they're very hit-and-miss. Sometimes the FX-8350 does beat an i5 in those applications, in some its nearly as fast as an i7, but in many its still far behind. If someone were going to actually make a purchase based on that, the smart thing to do would be to investigate how the applications they plan to use perform with an i5 vs. an FX-8350. I'd say that for most users, saving a few seconds in Handbrake doesn't really make it worthwhile.

Thanks, I have an FX-8350 myself, no, he doesn't want overclocking, also I don't live in America so I'm not next to any of those shops (But I know where I can get parts), so i5-4690 vs FX-8350?

Update: I've just been looking around and the Intel chip looks slightly faster, yet cheaper where I can buy it from.

What does he plan to do with it? Is this just basically for gaming and ordinary desktop usage, or if not, what else?

I'd say that in general, to get the most out of any of AMD's processors, you really need to overclock them. The FX-8350 has a few perks, but in the most likely usage scenarios an i5-4690 will be a far better choice.

If you opt for the -4690, just make sure you pair it to a Z97 or H97 motherboard. Z87 and H87 require a BIOS update to be compatible with the newer CPUs, and some models may not have such an update available.
