Is it worth upgrading windows 7 to 64bit so I can install 8gb?

Hi I have a dell latitude laptop which is currently running a 32bit version of windows 7 with 2gb of ram installed.

I was going to buy 2x4gb sticks to upgrade when someone pointed out that it would be a waste as 32bit versions only utilize up to 4gb. What I wanted to firstly ask is, is it worth the upgrading or wouldn't it make much difference?.

If it is worth changing then the problem I have is I don't have a 64bit disc. I have an official dell windows 7 disc which I just pop into the drive, installs everything and is pre-activated, I don't even need to enter a code in. I have read I can get an official iso for free and use my existing code, is this true?. If so would this mean having to call microsoft when i need to reactivate it, and have to do this everytime I reinstall windows?

Another option I was thinking was possibly buying dell cd from ebay, would these work or do I have to buy a specific one for my laptop?

If you have fairly aged laptop, it may be more cost effective to sell your laptop and just buy you a newer laptop with windows 8.1 with a new processor and more RAM.
Sell your laptop to a friend, ebay, etc. and find you a good deal on a newer laptop (refurbished, used, ebay, etc.).

Just for a Windows 8.0/8.1 license you are looking at $100 and the memory you may be trying to add could possibly be older/more costly DDR-2 memory as compared to newer cheaper DDR-3 memory.

please can anyone help, if you want a TL:DR version, basically:

is 8gb worth it if I don't have a 64bit OS?
Can I download the free 64bit iso version from digital river and use my 32bit key?
can i buy a dell cd with windows 7 64bit on eBay and use that?
 
First off. Bumping threads is not permitted, please don't do it again.

Second, the preinstall OEM license for Windows 7 does not allow switching between 32 and 64-bit versions.

Third, switching requires a full format and reinstall, there is no direct path between the two.

Fourth, anything more than 4GB is completely wasted on a 32-bit OS.
