" Open System by clicking the Start button Picture of the Start button, right-clicking Computer, and then clicking Properties.

Click Advanced system settings. Administrator permission required If you're prompted for an administrator password or confirmation, type the password or provide confirmation.

Under Performance, click Settings.

Click the Data Execution Prevention tab, and then click Turn on DEP for all programs and services except those I select.

To turn off DEP for an individual program, select the check box next to the program that you want to turn off DEP for, and then click OK.

If the program is not in the list, click Add. Browse to the Program Files folder, find the executable file for the program (it will have an .exe file name extension), and then click Open.

Click OK, click OK in the System Properties dialog box if it appears, and then click OK again. You might need to restart your computer for the changes to take effect. "

They do say when you " Upgrade " to win7 or higher some od games/programs may not function. If it means that much to you I partition HDD and create an an XP boot.

How much RAM are you using? It may simply be because you are using 64bit win when the game needs 32bit ( 86 ).....

If you are only using 4 GB then you should be using x86 ( 32 bit ).

This may be your problem. Windows 64 bit is for systems with over 4GB of ram. So your not even getting it's full potential. If you have access to an x86 ( 32 ) bit copy I would try switching over since the game was made when everything was pretty much 32 bit except some Vista pc's and a handful of xp were 64 bit but it never really functioned that great. Ask your friend what he is running and I'd be willing to bet it's a 32 bit OS and that's why it works for him. Some drivers are just not 64 bit ready and were never updated.
