Sapphire AMD/ATI Radeon R7 240 with Boost 1 GB DDR5 Graphics Card will support Gigabyte GA-G41 combo since Gpu has Bus Standard PCI Express 3.0, but MB has PCIE 2.0

Yes,it will work.
Not a single card has been released(yet) that fully uses the PCIe 3.0 interface. I am personally using a PCIe 3.0 card and a 2.0 mobo.I have no problems at all.

having 450w Mercury PSU will it ok or anything else....

It should be enough,but I think it's a bad quality PSU and that it will damage your card.
What is the exact name of your PSU?

Mercury KOB P4 450 Watts.if bad means suggest some PSU under 500-1000rs. INR

There are no PSUs for 1000RS.
I think that the Mercury will be enough,but consider buying a new PSU iin the future.
