the mobo would fit, however:
1. Dells sometimes have welded IO backplates, and unless you have a dremel and a day spare, this will stop any attempt to fit a new mobo. check the IO plate snaps out before you buy the new mobo.
2. You will have to rewire the front panel connector, as dell use strace front panel configs. Rewiring them is quite easy, you just need to flip the tags holding the wire crimps in with a paper-clip, then remove the wire.
I just upgraded an old 530s with a new mobo/cpu, and i managed to do all these, barely!
