computer powers on but does not boot

I came home from work and tried to get on my computer today with no success. It was on, all fans including cpu fan were running, but screen was black. I turned it off, then back on, but only fans were running and the onlyindicator lights that were on was the cd drive light and it seemed like it was flashing a code. No signal was received by the monitor. I have a power supply test box and it indicates the ps is good and producing all requied voltages..by the way the ps is only 6 months old if that really matters. I then tried starting up with my memory sticks removed and used individually one at a time with no success. Next I tried with all memory removed...stystem powered up, but no beeps or lights.
Tried different video card, no luck.
any suggestions? Dead motherboard?

I have an Asrock K10N78N-PRO motherboard, AMD 3.0Ghz dual core cpu, 2 one gig sticks of Gskill memory, an older EVGA video card but it does work...tried it in another system.
All fans except for one are plugged in the motherboard. Checked all cables out, removed and reinstalled with no improvements.
What really confuses me is why is the cd drive light flashing, and why does it stop flashing with the ram removed?
