i have core 2 duo e7400 with DDR2 motherboard. does it worth change to DDR3 motherboard?

Needless. Don't waste your bucks on something which is old. Better build your budget and buy yourself a current gen new PC.

No only if you upgrade to more modern system. Ram speed difference has very little impact on over all performance.
