Yes it will. Your cheapest upgrade option, would be an i5 750/760. That CPU would still be capable of handling a 265 well. An i7 860 would be better yet.

Your cheapest, decent, option would be an FX 6300 and a Gigabyte GA-78LMT-USB3 if buying new in India, most likely.

Just get the 265, for now, and upgrade cpu and motherboard, when you can. The bottleneck isn't going to hurt anything.
