Graphic card replacement compability Help!

Hello there, i need a replacement for my GPU on my old but only computer at the moment, but i've been searching around the net and cant find the same GPU as mine anywhere to be sold, so i have considered getting a different one and hopefully a better one.
my computer is an HP Pavilion p6110pt Desktop
my motherboard type is IPIBL-LB (Benicia)
Ram: 6GB
Processor: Pentium(R) Dual-Core CPU E6300 @ 2.80GHz
GPU:Ati Radeon HD4650
Power Supply: 300W

I hope that you could tell me if i'd have to replace other components or not cause i really have no idea of which video card i could adapt to my computer.

That Cpu could be replaced by Intel Pentium G3258 and 8gb ddr3 and a GTX 750 ti.
Budget
CPU:75$
Mobo:50-75$
Ram:70$
Graphics Card:150$

350$

That would be the least upgrade.
