Recently my trusty 9800gt died which left me no choice other than getting a new gpu. The problem is my CPU is also ancient. I don't know the mobo but the processor is Intel e5400 overclock @3.8ghz. Since I cannot upgrade both things together I was wandering will the new GTX 750 work on my old mobo? Will the mobo hold back the GPU?

Yes. It will work without issue. The power supply that powered your old 9800GT should be more than enough to handle the GTX 750 and the PCI-E slots are backwards compatible.

It should work as all PCIe Express slots are backwards compatible and the 9800gt runs on PCIe 2.0 so the GTX 750 will work on your mobo with minimal loss in performance however I suggest taking a look at the GTX 750TI if you have an older PSU which wouldn't be so reliable to run a card which requires an external power connecter as the 750ti doesn't need an external power cable.

Also the CPU will bottleneck most of the modern GPUs.

That actually is a pretty good match.
