Ok, I have this:

Operating System Microsoft Windows 7 Home Premium (32-bit)
Model Compaq-Presario FQ582AA-ABA SR5710F (ECS Iris8)
Processor AMD Athlon X2 4450e @ 2.31 GHz (best that MoBo can accept)
1 processor, 2 cores
Processor ID AuthenticAMD Family 15 Model 107 Stepping 2
Processor Codename
Processor Package Socket AM2 (940)
L1 Instruction Cache 64 KB x 2
L1 Data Cache 64 KB x 2
L2 Cache 512 KB x 2
L3 Cache 0 KB
Motherboard ECS Iris8
Northbridge NVIDIA MCP61 A3
Southbridge NVIDIA MCP61 A2
BIOS Phoenix Technologies, LTD 5.31
Memory 3072 MB DDR2 SDRAM 386MHz (best that MoBo can take, but not most)

Ok, original bus speed was 200, I have upped my bus speed to 237 with no problems or overheating so I actually get 2725 MHz. or 2.725 GHz.

This actually added a lot of response/speed to the system.

I have an Nvidia GeForce GT520, a Creative SB sound card, and a 1TB Hitachi 7200 RPM HDD and a 2TB Seagate Barracuda SSD Hybrid Hard Drive.

I know its an old system and I don't need the "that's older than dirt buy a new pc" comments. If I had the money I would.

I can only spend $150-$200 And need the best MoBo/Processor/Ram I can get. Or If it means a way better MoBo/Processor, I can keep my currant RAM for a while.

I have a 500W power Supply and a Thermaltake Xaser 3 Case. So Mounting the board isn't a problem, nor the boards size.

Also I need to know if the onboard graphics will be better than the GT520 or if I should keep using it.

I plan on doing a full re-install of win7 in 64 bit mode after the upgrade.

Oh, and I like to OC so that ability would be a plus.

Solution
Here is what I came up with.

If you spend $30 in the future for a CM hyper 212 Evo, you will be able to overclock this CPU up to around 4.5GHz. You will notice a HUGE boost in performance without overclocking though. But I would recommend getting another 4...

This is expensive motherboard with extremely good oc-ing cpu... when you get more money sell the cpu and get i5 4690k :) buy 2x4GB 1866MHz (or 1600MHz but they are only 10-20$ difference so) when you can

Why I recommend this to you is because this motherboard support new i5 and i7 processors so you wouldn't have to invest in new motherboard for the next 6-10 years or so and this pentium processor is fast little devil if you can oc it right :)

[strike]So you want a new motherboard and cpu? You could get an AMD APU and motherboard for it rather cheap,
a10-6800k, this would give you better video performance than the gt 520, if you game you'll be happy with it.

As for the motherboard, a cheaper socket fm2 will do well,

I know the apu is out of your budget but it will performa better graphics wise over the gt 520 you currently run, if you want to fit your budget you can check out the athlon x4

Do what the person above suggested :)

But I would recommend getting another 4 gigs of the G.Skill Ripjaw X 1600MHz RAM first before you buy the CPU cooler. Also, you can't use your old ram with this new ram.

I was able to overclock my 6350 from 3.9GHz to 4.4GHz on the stock cooler. So you should be able to overclock the 6300 a little with the stock cooler also, I would think.

And after you overclock it to around 4.4 or so, you will just need to upgrade your GPU last and you will have a pretty powerful gaming PC.

Solution

He needs RAM too, can't use his existing DDR2 with this CPU/MoBo.

For gaming this is probably the best option. G.Skill RAM OCs well too. And I've gotten this CPU to 4.4GHz on stock voltage. 4.5 with a small voltage bump. We also used the CM Hyper 212 EVO for the build and it kept temps around 52c under full load.
