My rule of thumb has been to spend twice the cpu budget on the graphics card for a balanced gamer. The GTX970 is an outstanding deal at $325. I need to change my ROT.
Since the GTX970 is a GTX780 class card which was in the $400+ range, I suggest you look at a $240 i5-4690K if your budget permits.
If you live near a microcenter, they will sell you one for $200. A steal.

If you have a problem with 4690K, then a $190 i5-4460 would still be very good and appropriate.

You should be able to find a Z97 based motherboard for $100-$150.

Even the cheapest i5, the i5-4460, paired with the GTX 970, will have excellent performance in games.

Yes, the cheapest upgrade would be a h81 motherboard and a 4460, that would be below $250. But if you plan to overclock, you'll need to spend around $370, with a 4690k, a z97 motherboard, and a aftermarket heatsink.

And you don't need to overclock anyways. Even i3s can run games at ultra settings. (playable settings, but not ideal, 30-60 fps, but not a solid 60 like you'd prefer)
An i5 at stock should perform just enough better to make the performance as smooth as possible.
Overclocking is overrated.
