Technically it depends on which i3, but I assume you're talking about a Haswell i3 or at least a Sandy or Ivy Bridge. Anyway, Watch Dogs will benefit from the better single-threaded efficiency of a 2-cored i3 with 4 addressable threads than any true 4 core from 6 years ago.

Remember that i3 and Core 2 Quad processors are not compatible on the same socket; and that you will not be able to upgrade from a socket 775 to an 1155 i3 using the same motherboard.
In simple terms, if you want to upgrade from a Core 2 Duo/Quad to an i3/i5/i7 you'll need a new motherboard. For the i3-3220 you'll need a socket 1155 motherboard (also try and purchase a 7 series motherboard, so it's compatible with Ivy Bridge straight out the box). Otherwise you could purchase the latest generation of Intel processors on socket 1150.
