Upgrading CPU and Motherboard one generation

So my birthday is coming and i would like to update my pc. I currently have an AMD Athlon II X2 250 Cpu and the motherboard that came with my dell Inspiron 570(Dell 4GJJT) And i want to upgrade to an AMD FX4300 and an Asus M5A78L-M LX Plus 760G motherboard. What complication will i run into? Since its only one minor leap forward will I have to re-install Win 7?

Yes you will have to reinstall windows and you will need new ram as well go for the 6300 at least

Alright thanks. I don't really need the extra 2 cores though, its a light gaming rig. And a lot of the games don't even use more than 4 cores So i cant see spending the extra $20(about) for a CPU i wont utilize fully.

Also i want to know something. Instead of re-installing windows 7 can i just upgrade to windows 8.1? Could i go into bios(before upgrading) change primary boot to DVD drive, then install my new mobo and cpu. Slot in the Win 8.1 disc and boot up like that? Or would that never work. Because if i'm going to have to re-install windows why not just upgrade it at the same time?

Its not even about the extra two cores which arnt really cores but we won't really get into that, look at benchmarks the 4300 preforms well under the 6300
