MY PC specs are as follows
PSU: iball LPS223-400
Motherboard: ASUS P7H55-M LX
Processor:INTEL i3 540 @ 3.07Ghz
RAM: 4GB (2GB X 2)
HDD: Western Digital Caviar Blue WD5000AAKX (3.5inches and SATA Gb/s)

NOTE : I am Talking about GTX 750 NOT GTX 750 TI.
Also which things should i upgrade so that GTX 750 would be able to run.

it is able to run, just get it in the PCI socket. however PC is severly outdated.. i3 540.. one of worst CPUs ever heard, even worse than my infamous i3-2100 ..motherboard and 2gb ram sticks both seem out of this world nowdays too but situation not as bad as with CPU. Ain't sure what your PC will be used for,but doesnt seem to become a gaming or multitasking one.

That i3 is a little faster than my Core 2 Duo E8500 which can still run a fair number of games well with a decent GPU paired with it, both of which were some of the best budget CPUs for overclocking a few years back. If you're gonna run really bad PC ports like Watchdogs then you'll have a pretty hard time, though thankfully ports that bad aren't too common.

That PSU seems to be one of those no-brands (low power and low quality), the GTX 750 usually does not require a 6 pin PCI-E power connector (some models do so be aware of that).

Your PSU should technically be able to power your system with a 750, but I just wouldn't recommend running a system with a low quality unit like that,. It'd be best to buy a nice budget PSU from a reputable manufacturer, preferably from tier 1-2 in the list below.

Depending on where you live you could probably pick up a nice budget unit from FSP/Silverstone/Antec (The Corsair VS budget units aren't that good FYI).
