Noctua NH-U14S vs Noctua NH-D14

for modest overclocking and if the cost is the same (C$75) which of these 2 is best in terms of:
a. cooling performance (cooling/lowering the most degrees Celsius)
b. noise level.
c. with how low rpm?

Would the airflow with 2 fans be the 140mm pushing towards the tubing while the 120mm pulls away from the tubing?? In other words both fans moving airflow in the same direction?

The U14S is quieter, without a doubt. And it performs excellent. I use the NH-U14S on a FX-8320 overclocked to 4.5Ghz, on a 990FX Sabertooth board, which has a full 1 Ghz overclock, and I have great temps, no issues. The only time I even hear the PSU fan is after it's been at full load for longer than 30 sec and even then it's not bad. And chances are you'll rarely have the CPU at full load on all cores for long periods of time unless you're stress testing or running some serious apps. In which case, you'll expect there to be some noise. It's also physically smaller than the D14, so that's a plus.

Bought and installed NH-U14S plus a second NF-A15 PWM fan all new for C$69. Cant hear those fans even with no case side walls in place.
This contraption looks impressive inside the case. A Fractal Design Define R4 with a lateral acrylic window
 
I thought you'd like it. I am extremely happy with mine. I had a 212 EVO, and it was too loud and didn't perform well at all with my overclock. So I bought an NH-D14 and it worked well but it was bigger and had clearance issues. My U14S is very cool and no clearance issues. Hope yours works as well for you as mine has for me. I'll never buy anything other than Noctua or Noiseblocker fans anymore. Those Austrians and Germans just have it down to a, well, science. Heh.
