PC Specs:
M/B: Gigabyte H55M-UDH2
CPU: Intel Core i5 750@ 2,66Ghz
GPU: Gigabyte GeForce GTX 650 1GB OC
RAM: 2x2GB
PSU: 500W

I want to upgrade my GPU to GTX 970, i liked the Asus Strix GTX 970 but it's a big card so i opened my case to see if it fits and i found that my Motherboard have the PCI-E x16 Slot very close to the RAM slots.

Picture: (The right PCI-E is x16)

Considering the Asus Strix GPU have also backplate i am afraid it wont fit due the RAM Slots.
So if it doesn't fit should i buy different brand of the same card like... MSI (which doesn't have backplate) or it wont fit either?
I could buy different Motherboard but there are not many choices since this one have 1156 socket.
I could also put it to PCI x4 but it would be a waste.

P.S.
What do you think of my specs? I am using my PC for gaming, i am thinking to upgrade my RAM to 8GB i hope my CPU is okay for some time.

You are right, Asus Strix GPU will not fit. I found one picture, you can see the space between GPU ( not the gtx970) and the memory slot tabs is very tight. You may consider get the one (gtx970) without the backplate.
