ASUS M5A99FX PRO R2.0 + FX 8320 + Hyper 212X

I'm getting these 3 as upgrade for my current rig. I'm planning to OC the 8320 around 4.2-4.5, given that the Hyper 212X CPU cooler (and the thermal compound that comes with it), and the mobo can handle the heat and still be stable. Can they?

But won't the Hyper 212X get in the way when I install RAMs like Ripjaws X?

you may find you have to remove the heat-sink to fit new ram. One of my ram ports are definitely obscured by the heat-sink. I use two 8gb modules and will not be upgrading any time soon, so for me that wasn't an issue as I have 4 ports.
