Intel DQ35JO shut down issues

Hi, I have a wierd problem. Recently build a PC with Q6600 cpu and Intel DQ35JO mobo. Since point one - it won't shut down. Choosing option in windows start, sowtware shuts down as it should. Hardware not - fans are spinning, power leds on MOBO are on. And that is it - I have left it for night -still running in the morning. Changed psu, tried different ram's, tried clean windows option, tried unplug everything and pluging in again. played with all BIOS options I could imagine and ones which shouldn't affect it at all :) still the same. Tried to chnage what power buttons do - nothing. Have tried to re-flash BIOS (as there is newerst already) but...it seems that someting is blocking it. Tried re-flash in all modes from INtel website, but none of them seems to work. It just resets BIOS to the default. The reason why I think so, is that it have a custom made logo, and after flashing a BIOS - I assume, it should go back to original, but it won't. Also I have looked at USB ports looking for oxidations, damages, but nothing. There was however few times when PC did shut down properly, but I couldn't pinpoint the reason. Any help or expierence with this?

Just to clarify - When you shut down pc through Start - Shut down - everything shuts down to the point where main power need to switch off - so - software is closed, but pc elctrical parts (fans, leds) are still working.

Just for info - I did solve shut down problem. My suspicions about BIOS unflashing was correct - it turned out that external DVD is not good and usb as well. When I installed internal DVD (SATA), removed ''jumper'' and restarted system - it flsahed BIOS correctly and everything was shuting down properly now. That all did create a new problem though - about which is my question in new thread.
