Socket 775 MB upgrade -- HELP!

Would appreciate some help from you folks here!

Problem: Would like to improve performance of computer with a BETTER MicroATX motherboard.

Current specs: HP a6642p with a IPIBL-LB Benicia MB, Intel Core 2 Quad Q9300 (Yorkfield) 2.5 GHz, and 4 sticks of DDR2 400 MHz RAM. Video: NVIDIA GTX-460 768MB. 650 watt (new0 PS. 2 WD Black 1 TB drives. DVD drive.

Money to spend: About $100.00 USD

Currently looking at:
INTEL BOXDG45ID INTEL G45 S-LGA775 MICRO ATX MBD (New) [$99.00 - OBO]
ASUS P5G41C-M LX mATX Motherboard Intel LGA Socket 775 (Used) [$65.00]

Would appreciate any information or suggestions you folks might have. I do not want to buy a new case, etc. Just wanting info on the MB upgrade only. If you know of something better (not listed above), I am certainly willing to consider that as well.

Unless you're running Linux or Windows 8 on this system, included in the cost of the motherboard upgrade is the cost of a new OS license. All in all, it's not worth the cost to just upgrade a motherboard without also upgrading the processor and RAM.
