Z97 sometimes boots after shutdown

I recently updated my PC form a 3570k + Asrock Z77 Extreme 3 to 4970k + Asrock Z97 Extreme 3 and noticed a weird behavior.

Sometimes (about one out of ten times) my PC starts itself after I shut it down, roughly 10 seconds after the fans shut off. It happens so rarely that I cannot see any kind of pattern.

Additional info:
Win7 x64
OC 4.4 GHz fixed V 1.18 (4.0 cache fixed V 1.215), EIST, C1E on (rest of C-states off), spread spectrum off, LLC off
BIOS "power on /wake on" all off

Any ideas?

My Asus Rampage IV Extreme motherboard does exactly the same thing. I noticed that the diagnostic state that reads in the LED read out on the motherboard sometimes (not all the time) shows a sleep state number (when referenced from the motherboard manual). My guess is that for whatever reason, the motherboard is in a sleep state even when shutdown from the Windows option and restarts back up either spontaneously or through keyboard or mouse input. The only thing I can recommend are:

1) Verify the Sleep state setting in your BIOS and change it if incorrect
2) If setting the sleep state doesn't work, wait for a BIOS update that will fix the issue
3) Reflash the BIOS with the most current version (even if it's the same version) --> reason for this recommendation is a possibly corrupted BIOS image
4) Disable sleep state altogether in Windows (using Power Options menu)

Thanks for the quick relply. What do you mean by that? The MB has a "deep sleep" setting, but that's disabled. I don't see other Sleep state settings.

That was my last resort, cause I need to reapply all settings
4) Disable sleep state altogether in Windows (using Power Options menu)
I have power options set to "never standby", hibernate disabled through "cmd - powercfg -h -off"

Edit: I have now cleared the CMOS and reflashed the newest Bios, I also disabled all C States. I'll report back if this helps.

Right, thanks, my Intel NIC had wake on LAN and power on LAN enabled. However, I had "wake on LAN" disabled in the BIOS. Still, could be a bug.
Now I'll have to wait and see.

Edit 1: No restart until now, but I'll wait a few more days to see if it's fixed.

Edit 2: I think it's save to say that it's fixed. Was most likely a bug in Intel LAN drivers and resolved either by disabling "Wake on LAN" in device manager or by installing new drivers.
