my new pc build wont start up properly . just keeps on restarting

Hi I know I sound like a total nubie.
But here goes I just bought some parts to upgrademy pc.
I5 - 4460. Gigabyte h81 s2ph m/board. & G-skill trident x 2x4gig ram kit...
Now I installed all the parts plugged everything in, & ready to switch on my new rig...
But it just makes the normal beep to start up & few seconds later it just restarts in a continuous cycle. I can load it onto the bios menus it works there fine.
But when I save n exit it just restarts. I had Windows 7 ultimate 64bit. Did non.
when I tried my older xp hard drive it gets as far as the xp logo then restarts...

I tried different ram & also using 1 at a time on each slot.
So I'm thinking it could be the bios... Maybe it needs to be updated or some?

Any help would be much appreciated, thanks.

Hi. Ok wel when I try installing Windows again from scratch. It loads up for a few seconds & then restarts. & a blue screen shows up with an error message..
I see that the bios is up to date with the latest update already.

hi sorry about the delayed reply.
yes as i said in my 1st post i tried the ram 1 at a time, & with some from another pc...

anyway i tried it again doing a full format on my spare hdd, installed windows 8 32bit,
just to see the new interface, wasn't to happy with it so did another q/forma,
& installed my windows 7 cd... (& by mistake after trying to install few programs realized i selected x86 instead of 64 lol)
whatever apps i installed worked fine. restarted few times it all worked fine...

so ii decided to install the 64bit version. same routine.
apps works fine restarted n etc. but when i validate windows & it needs to restart...
it switches off but dont come back on. basically its back to my original problem with it keep restarting!

so what am i missing?
when i do the exact same on my old 775 set up it all goes ok just the new set up is confusing the krap out of me...

i have done all the steps as suggested. I've built up few pcs but this is the 1st that gave me problems.
i enen tried creating a restore point after it installs the 64bit windows but after i verify windows it restarts but dont come back on.
i think i have just a last try on my windows cd.
i boot up with the cd & try to repair it. it says its not the same version as the windows thats installed.
so i tried looking to use the restore point but it doesn't pick it up. i dont understand how thats possible lol.
or even that it works perfectly fine with the 32bit system. it doesn't give any silence when restarting or anything more than the normal 1 beep. i have both my old & new system laid out on a wooden table as its easier to work with.
the only thing i think may be faulty is the windows cd could be faulty. so i borrowed a friends disc today.
ill try it during the weekend... hopefully it works will let you know the outcome....
