Looking for advice on purchasing a CPU/mobo

Hey all, i'm needing to replace the mobo/cpu in my media server, and am wondering if this will be sufficient for my needs.

The previous system was an old Compaq tower i pressed into service running ubuntu server. I used it essentially as a NAS, running NFS and samba along with plex media server(no transcoding). Well the stupid heatsink on the northbridge fell off and the mobo fried.

I'm looking at getting the Intel Pentium G3258 Anniversary edition and Gigabyte GA-H81M-S2PV to put in there. This is way better than what was in there previously (K8S-LA and AMD Sempron), but i'd like the system to be able to handle transcoding as well(It's going to be streaming to a chromecast). According to plex, in order to transcode 1080p, you need a passmark score of 2000 for each stream you are trying to transcode. Since i expect to have no more than 2, the G3258's score of 4000 makes it just able to handle it. However, this edition is unlocked for overclocking, with people easily managing in to the 4.x's. My PSU is rated with an output of 250W and the connector is a 20+4 type(2 plugs, a 20 pin and 4 pin), and there's no GPU in there. I generally access the system via SSH. No graphics card is in there, only one HDD, and a USB HDD. I'll likely add another HDD in the future.

Given the above, my[strike][/strike] questions are:
1)Will this be powerful enough for what i want it to do
2)Will i be able to overclock it while running ubuntu server,
3)Is there any reason the previous components won't be compatible(RAM, PSU, etc)

This is my first time purchasing a cpu and mobo, so any thoughts and insights are appreciated.

Solution
You don't really need a beastly processor for a NAS, all you need is a good Gigabit connection or 10 Gigiabit.
Concentrate more on storage.
