Factory overclocked cards are overclocked by the cards Firmware or the card's BIOS (call it whatever you wish). While games do not care about software overclocking, a lot of productivity software does not tolerate software overclocks. For example, PremierPro almost always crashes if you have a software overclock. Other than that, there is no difference whatsoever. And to be hones, throughout all my years, I have yet to have an Asus card die on me in a reasonable time. My dad had his GeForce 4400 (yes, correct GeForce 4400 from year 2002) die few years ago. But that is 10 years of usage, and for a gamer that is a lot more than you will be using the card. For me it is a no-brainer when it comes to Asus video cards. They are the quietest and most durable out there, though with lower clocks and higher price. I would always take an Asus instead of something else. But the last part is some facts mixed with my personal experience and feelings. Anyway, both cards will make you happy. Cheers.
