Should I change my Cool Master Hyper TX3 and buy the Noctua NH-D14 which would also make me change the RAM, I mean I could remove the heatsink but is it worth it in the long run?
For an i7-4770K at 3.5GHz - no. You won't notice any differences between that and the TX3.
While the Noctuna may increase the life span of the CPU (by keeping it a little cooler) I'd say the risk of having something go wrong in the motherboard removal and installation of the Noctuna offsets that and makes it a moot point.
So in the end I say why spend the $200 for new ram and the better heatsink for virtually no gain.
If you are talking of overclocking to 4.3GHz or above - then the Noctuna starts to make more sense as it will let go for higher overall clocks or give a significant boost to the lifespan as the added frequency will make the CPU run a lot hotter.

Well I don't plan on overclocking anytime soon but I'm still worried about the RAM getting too hot.
I mean, the RAM that I have installed currently is attached right under the CPU cooler..anyway
