You have a PCI-E x16 slot that is currently occupied by your present Graphics Card. It will support a GTX 970.

Your CPU is borderline for the newer Graphics Card. Upgrade it if you can but you won't suffer very significant performance loss with your current CPU.

i dont wont to upgrade i was thinking about a litle oc?
do you think 4.0 ghz is enough?

or maybe there are other parmters that i cant overclock to get full benfit?

It's probable you'll get full benefit as it is.

The only way to be certain is to run benchmarking programs to determine if your scores are within parameters for your hardware or not.

Regardless, if after benchmarking, you think you're under-performing, then by all means, overclock. If you still think you're under-performing then consider a new CPU.

An i5-2500k is a nice little processor. It should stand you fine for that GPU.
