OC 965BE No idea what i'm doing...

Hey all-
I'm new to OC. I've never tried to OC before and I don't know where to start.
Rig:
965BE
GA-970A-UD3
G.SKILL Sniper 8GB (2x4gb) DDR3 1600
Zalman CNPS9500A-LED
FirePower ModXStream Pro 700w
GTX 570 1gb

First question is, should I bother OC my CPU? If so, I'm looking for advice as to how to do it. I know this series can OC pretty well, I'm just lacking the knowledge to do it. Are there any good tutorials that you have seen/used?

Second question is, should I just upgrade? I'm trying to play the newest games with the best results. I know my CPU is a bit outdated and I'm considering the 8350 to replace the 965. Any thoughts as far as upgrading vs OC? Or should I replace my GPU for something like a 280x or 970? I don't know where I would get the most gain. Neither components are terrible, but they are showing their age with new games. Would I be better off upgrading either/both?

I know there are threads out there pertaining to both components but I'm looking for advice regarding my setup.

Phenom II X4 replaced with a FX 8350 would yield around 10 to 20 fps gain in most titles.
570 GTX replaced with a 760 GTX or better, Less heat, Less power and 10+ FPS gain

Your gains are noticeable by changing both parts but swapping the GPU first would net you the largest increase.

First off, thank you for the insanely quick responses. This is the reason I've used this forum for reference in the past. You guys are awesome.

I guess I'm looking for the best first step to improve my experience. I don't have extra cash right now to upgrade both at the same time. Should I start with upgrading my GPU and OC my CPU risking a bottleneck? Or should I upgrade my CPU now and use that to help my GPU? I just ran CODAW and it was rough to say the least. With my rig as it stands, I just can't get the performance I'm looking for. Where should I start to get the best bang for my buck, if you would....

Update your Bios and Replace your CPU with either a 6350, 8320,8350 or 8370 then overclock to around 4.5ghz which should be real easy. That would net you a decent amount until you can replace your GPU. In gaming terms all 4 of those chips give you about the same gain and OC limits.

Thanks for all of the input everyone. I'm giving Outlander the pick since he instantly gave me a tutorial on the OC process. But big thanks to delaro for the input on where to go from there and doing some legwork finding options for me. I think I will start with the OC and wait until Black Friday/Cyber Monday to upgrade both at the same time.
