Im upgrading from Windows 7 Ultimate (64-bit) to a Windows 8.1 (64-bit). Reason being, the Windows 7 Ultimate is "not genuine" and was a gift from a friend since i told him any os will do as long as i can quickly start using my new pc.

Here's the questions:

1)It's originally Win7Ult(64-bit) ,but now (ever since we installed it) it is a non-genuine Win7. Is that why it's only 32 bit?

2)I have 8GB of Ram. It says 2.9 is only usable. Is this tied to it not being genuine or is this a whole other problem?

3)Can i just type in the Win8.1 keys when it says not-genuine? Will it automatically pick it up or is it only for Win7Ultimate?

4)Will i have to erase everything? This is my first time building a pc. As far as im concerned, all i need to do is load the Win8 on my optical drive and it will just convert Win7Ult to Win8 right?

5)It's 32 bit. Will it automatically turn into a 64 bit instantly? Im worried about the whole 32 bit problem.

6)Should i be worried about anything else?

Solution
You need to purchase a valid, legal Windows OS license.
Install.

Your Windows 7 Ultimate saying it is not genuine is because....it is not genuine, or not activated. If you have a valid OS license, activate it.
If you don't, you need to buy one. Windows 7 or Windows 8/8.1.
You will find the price for a Windows 7 Ultimate license a bit disturbing. Luckily, you do not need Win 7 Ultimate. Home Premium will work just fine.

Or Windows 8/8.1.

Either way...to fix your issue, buy a valid OS and license and reinstall. 64bit to fully utilize your 8GB RAM.

for starters your friend installed an illegal copy of windows on your computer.it was only a 32bit version as well by the looks of things.the reason it says only 2.9gb usable is that it is a 32bit system which can only use about 3-3.5gb of ram,of which the system is gonna take some.the wn8.1 key will only work on a win8.1 install,so you are going to have to install win8.1.it will not make your copy of win7 genuine.you will have to do a clean install of win8.1 so backup anything on your drive that you want to keep, except programs.those you will have to reinstall after installing the operating system.when installing win8.1 format the drive and erase the partitions (there is an option for that when installing).if your copy of win8.1 is a 64bit copy it will install as a 64 bit os.32bit versions of wn8.1 are not common, but verify what you have before installing.
