Will my RAM fit with my CPU Cooler?

Those are fairly low-profile RAM sticks compared to some others that are out there. It should fit with the 212 EVO just fine.

And they fit under just fine (although very close). Your clearance with the 212 Evo should be much better. I'd say go for it.
