How well will a Gigabyte GV-N750OC-2GI GTX 750 work on my PC?

My current specs are:
Intel Core i3 2120
6 GB DDR 3 RAM
Galaxy GT 640 OC
Dynex DX-400WPS 400w PSU
Windows 8.1

I was wondering how well this card would perform or if it would be bottle necked in any way.

I am also planning on upgrading to a Intel Core i5-3470 and Crucial Ballistix Sport 16GB DDR 3 1600 (PC3 12800).

This will give you an idea of the amount of improvement you will see over the GT 640. Not a great amount. There will be no bottle neck with the i3 in any way. http://gpuboss.com/gpus/GeForce-GTX-750-vs-GeForce-GT-640
A GTX 750 Ti would be a better upgrade. Or an R7-265 better yet.
But I would suggest replacing that dangerous Dynex DX-400WPS when you can. It is no where near a real "400W" PSU. More along the lines of a cheaply made 200W - 300W unit.

So would you recommend me replacing the PSU before any further upgrades? I've had no issues with it as of yet.
