Yes, it will fit in the socket and work. No, you will not be able to overclock to any great extent.

Im just trying to build not a crazy expensive pc. I dont have overclocking plans or anything crazy. Just a fast computer that wont bottleneck.

Then you can use a cheaper processor. The i5 4690, with out the K, is locked, so no overclocking, and operates at the same clock speed (3.5 Ghz) and costs less than the one you mentioned.

The i5-4460 is 20% cheaper, but only 9% slower. The difference between 3.2 and 3.5 GHz is only an FPS or two for gaming. You will notice the difference if you are doing processor intensive applications, like rendering.
