i dont overclock so i dont need a huge cpu cooler. but i dont like the idea of keeping a stock intel cpu cooler. is it okay to put a low profile cooler in a mid case. specifically a: Cooler-Master-GeminII-M4

Solution
Don't do it.

My canned rant on liquid cooling:

You buy a liquid cooler to be able to extract an extra multiplier or two out of your OC.
How much do you really need?
I do not much like all in one liquid coolers when a good air cooler like a Noctua NH-D15 or phanteks can do the job just as well.
A liquid cooler will be expensive, noisy, less reliable, and will not cool any better
in a well ventilated case.
Liquid cooling is really air cooling, it just puts the heat exchange in a different place.
The orientation of the radiator will cause a problem.
If you orient it to take in cool air from the outside, you will cool the cpu better, but the hot air then circulates inside the case...

If the airflow in the case is ok, then using a low profile cooler won't pose any problems. Temperature of the cpu will be higher than it would with a bigger heatsink/fan, but you shouldn't have problems using the low profile one.

now im thinking about going with liquid. how would that effect air flow for the case. cause then the rear exhaust would be replaced by the liquid cooling fan

Nothing wrong with cooling with the intel stock cooler so long as you are not overclocking.
But it can get noisy when it spins up under load, and the pushpin mounts are tricky.

I agree with changing it out, and the cm Gemini is a viable choice with a 120mm fan.

Since you have a mid tower case, there is no need for a low profile downdraft cooler.
They are not very efficient.
A simple tower type sill direct any heated air out the back or top of your case better.
For your budget, look at a Noctua with a 120mm fan.

If you orient it to take in cool air from the outside, you will cool the cpu better, but the hot air then circulates inside the case heating up the graphics card and motherboard.
If you orient it to exhaust(which I think is better) , then your cpu cooling will be less effective because it uses pre heated case air.
And... I have read too many tales of woe when a liquid cooler leaks.
google "H100 leak"
