So I built a new pc and want to give my old pc to a friend, but I want to reinstall windows onto a new hard drive for him. I have the windows 7 oem disk and code. Will windows allow this? no other hardware is changing other than the hdd.

No, the OEM version is bound to the motherboard in Windows 7.
@RealBeast, I think you mis-read the post. IF the Windows key was registered with the motherboard you are giving to your friend then YES, you can install it on a new disk with that motherboard.
