Difference between ASUS GTX 770 DirectCU ii OC and normal ASUS GTX 770 DirectCU ii

I'm going to SLI two ASUS GTX 770's, and I already had one ASUS GTX 770 DirectCU ii OC (GTX770-DC2OC-2GD5). I bought a second card online, but the shop's webpage was misleading and I received a ASUS GTX 770 DirectCU ii (GTX770-DC2-2GD5) that is not factory overclocked.

Is there any other difference between these two cards than a slight difference in base and boost clocks? (base: 1045 vs 1058, boost: 1085 vs 1110) If there is none, can I simply overclock the not-OCd card to same clock speeds as the factory-OCd safely? I'm not planning to overclock the card any higher. I know that in SLI the cards don't need to have same clock speeds, but I want to have maximum performance.

Also, does overclocking the card void its warranty?
