Solution
normally a shutdown without a bugcheck will be a failure in power regulation. for example, a GPU pulls too much power, the power supply detects it as a overload and removes the power_ok signal to the motherboard, the motherboard resets the CPU and the system goes to a black screen and starts it BIOS boot up AFTER the power supply detects the power drain is gone and sends a power_ok signal to the motherboard.

-I would make sure the power supply is good, pull the connectors and put them back in. Also, blow out any dust from the power supply fan.
-you could also get this problem if your GPU pulled too much power from the motherboard slot. (make sure the fan is spinning up)
-if you have external power connectors for your GPU make sure...

-if you have external power connectors for your GPU make sure they are plugged in. (I don't think that GPU has any) if you are overclocking your GPU
remove the overclock (or even underclock the memory by 100 Mhz)

-if you installed a new GPU, be sure to enter into your BIOS and reset it to defaults and reconfigure and reboot.
(don't skip this, it will scan hardware and build a database of hardware setting that it will pass to windows)
