It has i3 3.2 ghz, 2gb ddr3 ram, no graphic card,
I'm thinking to increase ram to 10gb ddr3, add a EVGA 740 4gb ddr3 or ddr5, and replace psu with 450 or 500 watts, I'll use it for gaming and audio production, I have a very limited budget, is it worthy ?

P.S. after upgrading, overclocking i3 will boost the performance more ?

I doubt you'll find a PSU for that slim line PC much bigger than 300W - 350W. Depending on what you have now, you may not even have to change the PSU. The GT 740 is only a 64W card. Which card are you looking to get?

Btw, there's no sense spending extra on 4GB of VRAM with a card of that class. It will never use it all. 2GB max, and then only if you game at 1080p or greater.
