I am clueless but I am wondering if this PCIe 3.0 video card (EVGA GeForce GT 740 Superclocked FTW 1GB GDDR5 01G-P4-3742-KR) will function in my Gigabyte GA-P35-DS3L rev 2.0 MB? If it will function, am I wasting my $$$$? Thanks much.

yes it will work. But is it a waste of money depends on what you want the card for? for web browsing and business apps it would be a waste.
If gaming then please let us know which processor you have.
