Which perform better and which has higher overclocking potential. I want to play assassin's creed unity, dying light, ryse son of rome, far cry 4, like games on ultra settings on 1366×768 reS. After overclocking which gpu gives better fps..?

Both GPU's even at stock settings will Max nearly everything at 1366x768px.
Also both of them are basically the same, just with different coolers. For overclocking I would actually go for the Strix. Not because it will overclock any better just because Asus is a more well known brand as to say.

Both of them would be just as good either way, and cooling performance is also about the same. So either one will do depending on your preferance, e.g. which one looks better? and which one is cheaper?
