Hi,
I just built a system for my niece with spare parts I had, but with a new B75M-D3H motherboard and 4GB G.Skill memory.
After shutting down the system it automatically powers on and restarts every time.
If have run SFC /.SCANNOW.
I have checked the BIOS for "Restart after power loss" and it is set to Off.
I have checked the AutoReboot in the registry and it is disabled (0)

Power Supply is 550W with a 4 pin motherboard connector. Motherboard has an 8 pin connector so I plugged in a 4 to 8 pin adapter.
Interestingly, the front Audio and USB also does not work. Disconnected that though and PC still automatically powers back on, so I don't think those two are related.
System: I5-2500K on Gigabyte B75M-D3H with 4gb DDR3-1600 (2 x 2gb). 2x 500GB Seagate spinners, 1 x Blu-ray writer and 1 x DVD writer, Gigabyte GTX-650 video. Windows 7 Pro x64.
Any ideas are greatly appreciated.
