Not Overclocked i5 2500k w/ Upgrade to Nvidia 970 GTX

Hi All,
I want to upgrade from a 560 Ti to a 970 GTX. I currently have a i5 2500k and for whatever reason (be it the PSU or the mobo) I cannot overclock w/ stability. My motherboard is an Asus P8z68-V LX. I'm assuming the issue is the power supply because its a cheap 850 W one but that's not related to my question. I know this question has been asked a lot but by many individuals who have the ability to OC their CPU. My question is, would a 970 GTX be a worthwhile upgrade and would my non-oc i5 2500k be a bottleneck for gaming?

My second question would be about the overclocking. What do you guys think the issue with overclocking is being caused by?

I built a system 4 years ago for my girlfriend and it has a stock 2500k and 8GB RAM with a new gtx960 and it still rocks. No bottleneck whatsoever so a 970 would be awesome!
