Yes fine.

Only worry about 64bit OS when needing to address more than 4GB of system memory, which you don't have.

Which specific processor do you have? It needs to support NX, PAE and SSE2.

If it is compatible, don't expect good performance; you're running with the lowest amount of RAM possible.
