Need advice on CHEAP multi-purpose build: file server, transcoder, folder

I have a 6U rackmount case with server fans and a Corsair CX-430 PSU. I'd like to put together a bare-bones system that would be folding 24x7, serving and backing up files from my home network, acting as a mounted share drive, and occasionally transcoding and serving up video files to my Roku. I have a gigabit network, so it will be hardwired.

This will be in my basement, so noise level is not important. Video performance is not important, so I am ok with the on-chip video. Likewise, the on-board sound is fine. Probably run Windows 7 home premium. I don't care about performance too much, except for feeding the Roku.

So I'm looking primarily for advice on: motherboard, cpu with on-board video, memory, cheap sata HDD. Want to keep it cheap, like less than $300 if possible. I imagine more cores would be better to handle work while constantly folding.

I should have mentioned... For a starting point, I am looking at an Intel Pentium 3.0 GHz LGA 1150 with intel graphics, Asrock H81M-DGS, Crucial 4GB DDR3 1600. Probably a WD Black 1TB.

Multi-core CPU's with graphics at a low price pretty much don't exist, so this becomes a bit difficult. The best I think we could do is a quad-core APU from AMD, since anything cheap from Intel will be limited to two cores. Even then, though, we're looking at only four cores, and AMD's IPC and efficiency is not that great right now.

Maybe something like the following could work:

The CPU is embedded in the motherboard, which keeps the cost down, but the performance probably isn't particularly admirable. It's a really cheap option, if anything, but I'm not sure it will be best for your intended purposes. We could go with a separate CPU and motherboard for not much more, but I doubt we'd see a huge performance increase, while the power consumption would be much higher. That's usually not desirable for a 24/7 machine.
