At the moment I'm using

Phenom II 955 be @3,2gz (no oc) stock cooling
sapphire 6870 1gb (no oc)
6gb ram (no oc)
HDD 500GB

So I want to replace my old Asus m4n68t-m le v2 due to cpu overheating. Which I think is being caused by the mobo putting too much voltage on the cpu , and I swear it won't let me customize it. http://www.tomshardware.com/answers/id-2578234/amd-phenom-955-2gz-stock-cooling-idle.html

Also , I plan on buying a FX -8350 in the future.
My case is an NZXT PHANTOM full tower. So I have space to work with.

And beforehand I seriously can't afford anything more expensive than those mobos.

They are both decent 4+1 phasing boards with heat sinks on the VRMs. Not the best for OC'ing, but since that isn't your goal either one should be good. Check the features each board has to see which is the best fit for you. Personally, having built with several Asrock and Gigabyte boards over the years, I feel the Gigabyte is better quality.
