The first CPU is cheaper than the second one.
First one's box is a bit dark , reddish...
I would like to know if there is any difference between these two .. ?

I have seen same type of boxes in ebay , dark boxed cpus are cheaper.... why ?

The Black Edition is easier to overclock than the standard edition. If overclocking is not in your future, there's no difference between the two.

No difference. The only thing i can think of is that maybe one of them is older, and the packaging changed over time.

As previously mentioned, you can overclock the black edition more, otherwise identical products.
