I have gigabyte H61 motherboard, i5 2310 processor and ATI 6970 graphics card, does this meet sandy bridge requirement? if not

what do you mean by "sandy bridge requirement"? is it compatible?
if so, then you can know that its all compatible, because the i5 is using the LGA 1155 socket, and h61 chipset motherboards are using that same socket. the GPU just goes into the PCIe 16x slot, and you are all good to go!
