Looking for a Z97 OC and good audio board!

I use my pc for gaming, movies and music. I've always been attracted to good audio so for my next build im looking for a good audio experience with my Sennheiser HD598.
I'm looking for a Tier 1 Motherboard (0 - 180€) with GOOD OC capabilities and GOOD audio.
I'd also like to know what soundcards are a good buy to consider.

Gigabyte GA-Z97X-Gaming 5 ATX LGA1150 Motherboard good sound and ethernet port controller software(no more ping sspikes because of random software update, games got prioity over everything else.
