First of all my spec:
MB: Gygabyte GA-Z68X-UD7-B3
CPU: Intel i7-2600k @ 3.40ghz 3.70 ghz
Memory: Corsair Vengeance pro series 2x8GB 2400mhz dual channel.
GPU: Geforce GTX 980,
Asus Xonar phoebus sound card.. Win 8.1

Hi guys, well normally I can figure out things just fine by reading up great suggestions from others who have had this situation, but this one has me stumped... I hope you can help.

I went to upgrade my RAM from 1600mhz ram to 2400mhz dual channel RAM for my gaming/video rendering rig and it came up as 1333mhz on CPU-Z, no problem I thought, lets just go ahead and enable the old XMP profile on the BIOS, it only has profile 1, ok selected that and I get this:

""The system has experienced boot failures because of overclocking or changes of voltages.
Last settings in BIOS setup may not coincide with current H/W states."

I put the ram in mem slots 1 and 3 as the manual states (1,2 are channel A 3,4 channel B) if you are installing dual channel memory, I've also tried it in 2 and 4 and same deal.

So basically it tried to startup, but failed to even power up check (no beep), just shuts down twice and then comes up with that error, meaning it has a problem with the overclocking voltages, what's weird is this MB boasts you can overclock the ram and I really would like more than 1333mhz to render my videos with, I would set it manually, but I'll be honest I've never had to do that before, what do you think?

Thanks so much for any suggestions.

Solution
Is it the 2400/11 or 2400/10 sticks? With your CPU at 3.7, prob be best to manually set the sticks to 1866. If you raise the OC 2133 is probable, for 2400 will prob need a 4.2- 4.3 OC

Thanks so much for getting back to me, it's the C11 Memory kit, I'll try manually adjusting in the bios, it says they require 1.65V though some say that's a bit much, I guess the XMP profile is too much for my CPU? .

I tried with the XMP profile which brought the voltage to 1.65V and am running 1866 stable, so it seems at 2000 and above it just can't handle it, but this is a great improvement, thanks for the suggestion!

I'll try those timings thanks!

(I also read up on overclocking memory so I know what the fudge I'm doing)

Works at 1600mhz, but sadly 1866 it wont boot, even with the timings you gave, I'm really wondering what would get it to accept it.

I went into advanced voltage settings and I found QPI/Vtt Voltage, changed that and it still gives me the boot failure., I must be overlooking something or it needs further tweaking.

Profile DDR votlate 1.6V
Profile VTT Voltage 1.14V

Performance Enhance is on standard, DRAM Timing selectable SPD is on auto, Channel Interleaving is on auto, Rank Interleaving is on auto.

CAS latency time: 9 tRCD:10 tRP: 9 tRAS: 27

Anything above 1600mhz doesn't work, which is strange since this motherboard is designed to overclock at higher speeds and the processor should be able to handle 1866.
