System unstable and random lockups

I have just built a new system 3 days ago and I am experiencing some major instability issues which I cannot overcome no matter my experience or my knowledge. So, I ask anyone that has experienced the same issues to help out because I am on the verge of losing my mind...

System Setup is this:
CPU:Intel i7-5820K
Motherboard: MSI X99S SLI PLUS
RAM: Crucial Balistic Sport 16GB 2400Mhz(2x8GB DIMM)
VGA: Palit GeForce GTX 970 4GB RAM
SSD: Samsung 850EVO
PSU: Corsair VS650Watt
Keyboard: Microsft generic
Mouse: Logitech
OS: Windows 7 Ultimate 64-bit (Fully Updated)
BIOS ver: 1.8
Device Drivers: Fully Updated

The problem is that sometimes when I shutdown windows OS (Windows 7 Ulitmate 64-bit fully updated) the system does not power off. It logs off windows, shuts down the GPU but system fans keep spinning and I have to press power button in order to shut down system.
Some other times after I shutdown windows OS it shuts down completely and powers off but after 2-3 seconds it powers up again as if I had pressed the Power button and reboots to windows OS.
I have disabled Wake on Lan feature both in BIOS and OS but to no avail. Had even disabled LAN device in BIOS and OS but still problem persists.
Had modified registry setting "PowerOffAfterShutdown" from 0 to 1 and vice versa to NO avail!
Also, when I insert a USB flash in the front panel, system sometimes "freezes" and never comes back untill I remove it from the port. I also sometimes get random windows "freeze" where I have to hard reset by pressing the reset button on the case.
In order to troubleshoot the system I have:
1. Replaced the PSU with a Corsair 750Watt (from my other PC), but problems still persist.
2. "Memtested" both RAM dimms separately and together, both are OK.
3. Replaced GPU with a Palit 640GTX (from my other PC), but problems still persists.
I am now starting to lose my patience and I cannot think what else I could do before throwing the motherboard out of the window...
Any help is much needed!!!

I am running Win 7 pro and its irritating. Its an intermittent problem. I am tempted to remove all the updates and then try it again but if loading them all took over 2 hrs so I don't want to do that if I can avoid it.
